Terms of Service

Please read these terms carefully before using the Consent Era platform. By accessing our services, you agree to be bound by these terms.

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the Consent Era platform, website, APIs, and related services ("Services") provided by Consent Era ("Company", "we", "us"). By creating an account or using our Services, you agree to these Terms. If you are using the Services on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

2. Description of Services

Consent Era provides a cloud-based consent management platform designed to help businesses collect, manage, store, and audit customer consent in compliance with India's Digital Personal Data Protection (DPDP) Act, 2023, GDPR, CCPA/CPRA, and other applicable privacy regulations. Services include consent collection widgets, API integrations, audit trail management, data principal rights management, and AI-assisted compliance tools.

3. Account Registration & Responsibilities

  • You must provide accurate, complete, and current registration information
  • You are responsible for maintaining the confidentiality of your account credentials
  • You are responsible for all activities that occur under your account
  • You must notify us immediately of any unauthorised access or security breach
  • Accounts may not be shared, transferred, or used by multiple organisations without written consent

4. Acceptable Use Policy

You agree not to use the Services to:

  • Process personal data without a lawful basis under applicable privacy law
  • Collect consent through deceptive, coercive, or misleading practices
  • Store or process sensitive personal data beyond the scope of your stated purposes
  • Circumvent, disable, or interfere with platform security features
  • Reverse engineer, decompile, or attempt to extract our source code
  • Use the Services for any illegal, fraudulent, or harmful purpose
  • Resell or sublicense the Services without prior written agreement

5. Data Processing & Compliance Responsibilities

Consent Era acts as a Data Processor under the DPDP Act, 2023 and GDPR where applicable. You, as the Data Fiduciary or Data Controller, remain solely responsible for:

  • Establishing and maintaining a lawful basis for all personal data processing
  • Ensuring the accuracy of consent notices, purposes, and legal disclosures
  • Compliance with all applicable laws, regulations, and sector-specific requirements
  • Responding to data principal rights requests within legally required timeframes
  • Notifying the Data Protection Board of significant data breaches as required by law

Consent Era provides technology tools to support compliance but does not provide legal advice. Organisations should seek independent legal counsel for their specific compliance requirements.

6. Intellectual Property

All intellectual property rights in the Consent Era platform, software, documentation, and branding remain exclusively with Consent Era. Your customer data and consent records remain your property. We grant you a limited, non-exclusive, non-transferable licence to use the Services during your subscription term. You grant us a limited licence to process your data solely to provide the Services.

7. Service Availability & SLA

We target 99.9% platform uptime measured monthly, excluding scheduled maintenance windows (communicated with minimum 48 hours notice). In the event of downtime exceeding our SLA targets, you may be eligible for service credits as defined in your subscription agreement. We reserve the right to perform emergency maintenance without notice if required for security or stability.

8. Fees & Payment

  • Subscription fees are billed in advance on a monthly or annual basis
  • All fees are exclusive of applicable taxes (GST and other levies)
  • Overdue invoices may result in service suspension after 14 days notice
  • Refunds are issued at our discretion except where required by law
  • We reserve the right to change pricing with 30 days written notice

9. Confidentiality

Both parties agree to maintain the confidentiality of each other's non-public information disclosed in connection with the Services. This obligation survives termination of these Terms for a period of 3 years, except for information that becomes publicly available through no fault of the receiving party.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Consent Era's total liability for any claims arising under these Terms shall not exceed the fees paid by you in the 12 months preceding the claim. We shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, even if advised of the possibility of such damages.

11. Indemnification

You agree to indemnify and hold harmless Consent Era and its officers, directors, employees, and agents from any claims, damages, or expenses (including legal fees) arising from your use of the Services, your violation of these Terms, or your breach of applicable privacy laws or regulations.

12. Termination

Either party may terminate these Terms with 30 days written notice. We may suspend or terminate your account immediately for material breach of these Terms, non-payment, or conduct that endangers platform security or other customers. Upon termination, you may export your data within 30 days, after which we will delete your data in accordance with our data retention policy.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Any disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration under the Arbitration and Conciliation Act, 1996, with proceedings conducted in Sector 50, Gurgaon 122018. Nothing in this clause prevents either party from seeking urgent injunctive relief from a competent court.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated with at least 30 days notice via email or platform notification. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.
